These Terms & Conditions (“Terms”, “Terms & Conditions” or “Agreement”) govern access to and use of aashishvats.com (the “Website”) and the purchase or use of any products, digital products, educational materials, consultations, courses, programmes, services or other offerings made available through or in connection with the Website.

The Website is operated and managed by Ananta Akshar Infomedia Private Limited, a company incorporated under the laws of India (“Ananta Akshar”, “Company”, “we”, “us” or “our”).

By accessing, browsing, using or purchasing from the Website, you agree to be bound by these Terms, together with the Privacy Policy, Refund Policy and any additional terms expressly applicable to a particular product or service.

  • 1.7 “Digital Product” means any digitally delivered product, resource, framework, course, programme, ebook, workbook, template, toolkit, downloadable file, recorded material, educational resource or other digital offering made available for purchase, subscription, licence or access.
  • 1.8 “Services” means consultations, advisory services, educational services, courses, programmes, workshops, coaching, training or other services offered by the Company.
  • 1.9 “User Content” means information, comments, feedback, submissions, questions, reviews or other material voluntarily submitted by a User.
  • 1.10 “Confidential Information” means non-public information disclosed or made available by the Company or Aashish Vats in connection with a paid product, course, consultation, programme, service, commercial relationship or authorised engagement.

2. ACCEPTANCE OF THESE TERMS

By accessing or using the Website, you acknowledge that you have read, understood and agreed to these Terms. Where you purchase a product or service, submit an order, enrol in a course or programme, subscribe to a paid offering, or otherwise expressly accept an offer made through the Website, these Terms form part of the agreement between you and the Company. Where additional product-specific terms are presented at the time of purchase or enrolment, those terms apply in addition to these Terms and prevail only with respect to the specific product or service to which they relate. Electronic acceptance, including clicking an acceptance checkbox, placing an order, completing a payment, enrolling in a programme or otherwise proceeding with a transaction, may constitute acceptance to the extent permitted by applicable law.

3. NATURE AND PURPOSE OF THE WEBSITE

The Website is a general educational, informational and intellectual-content platform. It may publish content concerning professional development, business, marketing, technology, artificial intelligence, content creation, psychology, personal development, emotional intelligence, behavioural science, systems and frameworks and related areas. It may also provide access to books, frameworks, courses, consultations, educational programmes, digital products and other services. The Company may introduce, modify, discontinue or replace products, services, content and features from time to time.

4. EDUCATIONAL AND INFORMATIONAL PURPOSE

Unless expressly stated otherwise in writing, all articles, frameworks, educational materials, books, podcasts, videos, newsletters and other Content are provided for general educational and informational purposes. Nothing contained on the Website constitutes legal, financial, investment, medical, psychological, tax, accounting, regulatory or other professional advice. You should obtain appropriate professional advice where required. The Company does not warrant that any particular result will be achieved through use of any Content, framework, product, course or service.

5. WEBSITE ACCESS AND PERMITTED USE

Subject to these Terms, the Company grants Users a limited, revocable, non-exclusive, non-transferable and non-sublicensable right to access and use publicly available portions of the Website for lawful personal and informational purposes. You may access public articles, reasonably reference public material, download resources where expressly permitted, and use purchased Digital Products in accordance with the applicable licence. Unless expressly authorised in writing, you may not reproduce, republish, copy substantial portions, distribute, sell, sublicense, commercially exploit, create derivative products from, reproduce paid frameworks or courses, share paid access credentials, distribute downloaded materials, upload Company Content, scrape or systematically extract Content, use Content to construct or train a competing commercial knowledge product or database, remove proprietary notices, circumvent technical restrictions, reverse engineer proprietary materials, impersonate the Company or Aashish Vats, or otherwise misuse the Website or Content.

6. INTELLECTUAL PROPERTY

All rights, title and interest in and to the Website and its Content are owned by, licensed to, or otherwise lawfully controlled by the Company, Aashish Vats or the relevant rights holder. Nothing transfers ownership of intellectual property to a User or Customer.

Protected Content includes articles, essays, books, manuscripts, book titles and series names, course titles, lesson plans, educational modules, frameworks, methodologies, models, systems, processes, principles, original formulations, proprietary terminology, prompts, templates, worksheets, workbooks, checklists, toolkits, research, reports, databases, newsletters, email content, podcasts, audio, video, photographs, illustrations, diagrams, infographics, artwork, animations, graphics, logos, trademarks, service marks, trade names, taglines, slogans, website layouts, page structures, user interfaces, designs, downloadable materials, source code, scripts, software, databases, compilations, metadata, proprietary documentation, unpublished material, drafts, internal materials and adaptations, revisions, translations, compilations, modifications and derivative works.

Titles, names, series names, programme names, framework names, taglines, slogans and distinctive identifiers may constitute trademarks, service marks, trade names, proprietary identifiers or otherwise protected intellectual property. No User is granted any right to adopt, reproduce, register, use or commercially exploit such identifiers in a confusing or prejudicial manner. Nothing waives trademark, passing-off, contractual, confidentiality, unfair-competition or other rights.

No implied licence is granted to reproduce, distribute, modify, publish, transmit, communicate to the public, commercialise or otherwise exploit protected Content. Nothing waives non-waivable moral or attribution rights.

7. PROTECTION OF PROPRIETARY FRAMEWORKS, COURSES AND METHODOLOGIES

Certain Digital Products and Services may contain proprietary frameworks, methodologies, models, systems, educational structures, exercises, templates, processes, terminology, tools or other intellectual property. Purchase or access does not transfer ownership. Unless expressly stated otherwise, the Customer receives only a limited personal licence. A Customer shall not reproduce, sell, licence, sublicense, incorporate into a competing commercial product, teach or deliver commercially, publish, distribute, upload, create a substantially similar competing course/framework/toolkit, remove attribution, represent Company material as their own, or assist another person in doing so. This does not prevent legitimate independent application of general knowledge or skills learned, provided protected expression, proprietary materials and confidential methodology are not reproduced or commercially exploited.

8. DIGITAL PRODUCTS AND LICENCES

Purchase grants only rights expressly stated at purchase or in applicable product terms. Unless otherwise specified, access is personal, non-transferable and non-sublicensable; credentials may not be shared; files may not be redistributed or resold. Where access is time-limited, it expires as specified. Where lifetime access is expressly offered, it means access for the period during which the relevant product remains commercially available and technically supported, subject to these Terms, product terms and circumstances beyond reasonable control.

9. COURSES, PROGRAMMES AND EDUCATIONAL SERVICES

Courses, programmes, workshops, consultations, coaching, training and other services may have additional terms concerning enrolment, access, schedules, participation, attendance, cancellation, rescheduling and other conditions. Customers shall not record, reproduce, retransmit, redistribute or commercially exploit live or recorded sessions without written authorisation. Course materials remain subject to the intellectual-property restrictions herein.

10. BOOKS AND PUBLISHED MATERIAL

Books, ebooks, manuscripts and publications are protected intellectual works. Purchase of a copy does not transfer copyright or other rights. Purchasers may not reproduce, distribute, upload, create unauthorised copies, resell unauthorised reproductions or commercially reproduce excerpts beyond legally permitted uses. Nothing restricts rights that cannot lawfully be restricted.

11. CONFIDENTIAL INFORMATION

Recipients shall keep Confidential Information strictly confidential, use it only for the purpose disclosed, not disclose it without written authorisation, not reproduce or commercially exploit it except as authorised, take reasonable protective measures, disclose only to persons with a legitimate need to know and equivalent confidentiality duties, and promptly notify the Company of unauthorised access or disclosure. Non-public teaching materials, unpublished frameworks, internal examples, proprietary methodologies, exercises, business information, participant information and other non-public materials disclosed during an engagement shall be treated as Confidential Information. Exclusions include information lawfully known before disclosure, publicly available without breach, lawfully received from a third party, independently developed, or legally required to be disclosed. Legally required disclosure shall be limited and, where lawful, preceded by notice. Obligations continue while information remains confidential and non-public.

12. NO MISAPPROPRIATION OR UNAUTHORISED COMMERCIAL USE

Users shall not use Company or Aashish Vats Content, Confidential Information, frameworks, methodologies, course materials, brand assets or proprietary materials to establish a competing educational product, create a substantially derived competing framework, train or develop a competing commercial knowledge product, create derivative commercial training material, misrepresent authorship, claim proprietary ownership, license material, create substantially similar commercial materials using Confidential Information, or circumvent intellectual-property rights. Legitimate independent development based solely on general knowledge, public information or independently developed concepts is not prohibited.

13. USER CONTENT AND FEEDBACK

Users retain ownership of intellectual property in User Content to the extent lawfully owned. By submitting User Content, you grant the Company a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, transmit and use that content only as reasonably necessary to operate the Website, provide the relevant service, respond to the submission, administer the relationship, moderate the Website or comply with law. The Company does not acquire ownership merely because content is submitted. You represent that you have necessary rights and that submission does not knowingly infringe another person’s rights. The Company may remove content that violates these Terms, law or another person’s rights.

14. PROHIBITED CONDUCT

Users shall not use the Website or Company products/services to violate law; infringe intellectual property; breach confidentiality; impersonate; misrepresent affiliation; distribute malware; interfere with operations; attempt unauthorised access; circumvent security; scrape or systematically extract Content; conduct unauthorised automated collection; send spam; harass or threaten; upload unlawful material; redistribute paid products; share credentials; reverse engineer proprietary materials; exploit vulnerabilities; facilitate fraud; or otherwise interfere with Company, user or third-party rights.

15. THIRD-PARTY SERVICES AND LINKS

The Website may contain links to third-party websites, payment gateways, social platforms, software, hosting and other services. The Company does not control them and is not responsible for their content, availability, security, privacy practices or terms. Third-party transactions may be subject to their own terms and privacy policies.

16. PAYMENTS AND TRANSACTIONS

Prices displayed are those applicable at purchase unless otherwise stated. Prices, products, offers and promotions may change. Applicable taxes may be added or included as required by law. Payments may be processed through third-party providers including Razorpay or other checkout providers. The Company does not directly store complete payment-card credentials. Transactions may be declined, cancelled or held for suspected fraud, payment failure, inaccurate information, technical issues, regulatory requirements, unauthorised transactions or legitimate security concerns.

17. REFUNDS, CANCELLATIONS AND RETURNS

Refunds, cancellations and related matters are governed by the Company’s Refund Policy. Product-specific policies presented at purchase may apply in addition. Nothing in these Terms or the Refund Policy excludes or restricts consumer rights or remedies that cannot lawfully be excluded or restricted.

19. AVAILABILITY AND MODIFICATION

The Company may modify, suspend, restrict or discontinue any part of the Website or any product, service, feature or Content. Uninterrupted availability is not guaranteed. Interruptions may result from maintenance, upgrades, failures, security incidents, hosting or telecommunications problems, third-party interruptions, natural disasters, governmental action or circumstances beyond reasonable control.

20. ACCURACY OF INFORMATION

The Company endeavours to publish useful and accurate information but does not warrant that Content will always be complete, current, error-free, suitable for every purpose, continuously available or free from typographical or technical errors. Content may be updated, corrected, amended or withdrawn. Publication does not create a professional advisory relationship.

21. DISCLAIMER OF WARRANTIES

To the maximum extent permitted by law, the Website and general Content are provided on an “as is” and “as available” basis. The Company does not warrant uninterrupted availability, error-free operation, completeness/currentness, absence of vulnerabilities, particular outcomes, or suitability for every individual or purpose. Nothing excludes any representation, warranty, condition or statutory right that cannot lawfully be excluded.

22. LIMITATION OF LIABILITY

To the maximum extent permitted by law, the Company shall not be liable for indirect, incidental, special, exemplary or consequential loss, including loss of profits, business opportunity, anticipated savings, data, reputation or business interruption. Nothing excludes or limits liability that cannot lawfully be excluded or limited, including fraud, wilful misconduct or other non-excludable liability. For paid products/services, subject to mandatory rights and applicable law, aggregate liability arising directly from the relevant purchase shall not exceed the amount actually paid for that specific product/service giving rise to the claim.

23. INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold harmless the Company, its directors, officers, employees, contractors and authorised representatives from third-party claims, losses, liabilities, damages, costs and reasonable expenses arising directly from your material breach, unlawful use, infringement of another’s intellectual property, unauthorised disclosure or misuse of Confidential Information, fraudulent/wilfully wrongful conduct, or User Content that unlawfully infringes another person’s rights. The Company shall provide reasonable notice where possible. This does not require indemnification for losses caused by the Company’s own unlawful conduct.

24. SUSPENSION AND TERMINATION

The Company may suspend or terminate access where reasonably necessary due to material breach, unlawful activity, fraud, intellectual-property misuse, unauthorised sharing, security threats, abuse or other conduct materially prejudicial to the Company or users. Where appropriate, notice and an opportunity to remedy may be provided. Termination does not affect accrued rights; provisions intended by nature to survive shall survive.

25. CONFIDENTIALITY AND INTELLECTUAL PROPERTY SURVIVAL

Obligations relating to intellectual property, confidentiality, proprietary information, non-disclosure, unauthorised commercial use, payment obligations, liability, indemnification and dispute resolution survive termination or expiration to the extent necessary.

26. FORCE MAJEURE

The Company shall not be liable for delay or failure caused by circumstances beyond reasonable control, including natural disasters, fire, flood, earthquake, epidemic/pandemic, war, terrorism, civil unrest, governmental action, regulatory restrictions, labour disputes, infrastructure failures, telecommunications failures, widespread internet outages, cybersecurity incidents affecting third-party infrastructure or failure of essential third-party providers.

Collection and processing of personal data are governed by the Company’s Privacy Policy at aashishvats.com/privacy-policy/. The Privacy Policy forms part of the Website’s legal framework.

28. CONSUMER RIGHTS

Nothing in these Terms excludes, restricts or waives mandatory consumer rights or remedies under applicable Indian law. The Company shall comply with applicable consumer-protection, e-commerce, taxation and other mandatory legal requirements. Where a provision conflicts with a mandatory statutory right, the statutory provision prevails to the extent of the conflict.

29. GRIEVANCE REDRESSAL

Questions, complaints, requests or concerns may be submitted to Ananta Akshar Infomedia Private Limited at support@aashishvats.com. The Company shall review and respond in accordance with applicable law and procedures. Where law requires a designated grievance officer, response period or prescribed mechanism, the Company shall comply.

30. GOVERNING LAW

These Terms are governed by Indian law. Subject to mandatory statutory rights and applicable law, courts having competent jurisdiction in Haryana, India shall have jurisdiction over disputes arising from or relating to these Terms, the Website or products/services. Nothing prevents a consumer from exercising a mandatory right before a competent consumer forum, commission, tribunal or other authority.

31. SEVERABILITY

If any provision is unlawful, invalid or unenforceable, it shall be enforced to the maximum extent permitted and the remaining provisions remain effective.

32. NO WAIVER

Failure or delay in exercising any right, power or remedy does not constitute waiver. A waiver is effective only if expressly made in writing.

33. ASSIGNMENT

You may not assign, transfer, sublicense or dispose of rights/obligations without prior written consent. The Company may assign or transfer its rights/obligations in connection with merger, restructuring, sale, reorganisation or legitimate business transaction, subject to law.

34. ENTIRE AGREEMENT

These Terms, Privacy Policy, Refund Policy and product-specific terms expressly incorporated into a transaction constitute the agreement governing use of the Website and relevant products/services. They supersede prior representations concerning the same subject matter to the extent permitted by law. Nothing excludes liability for fraudulent misrepresentation or other non-excludable liability.

35. AMENDMENTS

The Company may amend these Terms to reflect changes in law, regulatory requirements, Website functionality, products/services, business practices, security or legitimate operations. Revised Terms shall be published with an updated Last Updated date. Where law requires additional notice or consent for a material change to an existing paid relationship, the Company shall provide it.
